SmartSuite Acceptable Use Policy (AUP)
This Acceptable Use Policy (“AUP”) governs use of SmartSuite’s hosted software platform and related services (the “Services”). This AUP is incorporated by reference into the applicable SmartSuite customer agreement (the “Agreement”). Capitalized terms not defined here have the meanings in the Agreement.
1. Scope
This AUP applies to Customer and all Users authorized by Customer to access or use the Services, including administrators, end users, and any third parties acting on Customer’s behalf (“Users”).
2. Definitions
- “Customer Data” means data and content submitted to the Services by or for Customer.
- “Documentation” means SmartSuite’s user guides and help materials for the Services.
- “User” means an individual authorized by Customer to use the Services.
3. Acceptable Use
Customer and Users may use the Services solely:
- for Customer’s internal business purposes,
- in accordance with the Agreement and Documentation,
- and in compliance with applicable law.
4. Prohibited Use
Customer and Users must not (and must not attempt to):
4.1 Illegal, Harmful, or Abusive Activity
- Use the Services for unlawful, harmful, fraudulent, or deceptive activity.
- Harass, threaten, defame, or unlawfully discriminate against others.
- Transmit, store, or process content that violates applicable laws or third-party rights.
4.2 Security and Integrity of the Services
- Probe, scan, or test the vulnerability of any SmartSuite system or network without SmartSuite’s prior written authorization.
- Bypass, disable, or circumvent any security, access controls, rate limits, usage limits, or other technical restrictions.
- Introduce malware, viruses, worms, Trojan horses, or other malicious code into the Services.
- Interfere with or disrupt the Services, infrastructure, or other customers’ use of the Services, including through denial-of-service style activity.
4.3 Unauthorized Access / Credential Misuse
- Attempt to gain unauthorized access to the Services, accounts, or Customer Data.
- Share credentials in violation of the Agreement or use credentials you are not authorized to use.
- Use automated means (bots) to register accounts or access the Services except through SmartSuite-supported interfaces or as otherwise authorized in writing.
4.4 Excessive or Abusive Usage
- Use the Services in a manner that is materially abusive or excessive relative to normal usage patterns and that adversely impacts the speed, responsiveness, stability, availability, or functionality of the Services for others.
- Attempt to evade plan-based limits for features such as automations and API usage.SmartSuite may notify Customer of abusive or excessive usage and may cap, throttle, pause, suspend, or limit access as permitted under the Agreement to protect the Services and other customers.
4.5 Scraping, Reverse Engineering, Competitive Use
- Use any manual or automated means to extract, scrape, or harvest data from the Services except as permitted by the Agreement or Documentation.
- Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services except to the extent expressly permitted by applicable law.
- Use the Services to build or improve a competing product or service.
4.6 Resale / Service Bureau
- Resell, lease, or provide the Services on a service bureau, managed service, or time-sharing basis unless explicitly authorized by SmartSuite in writing.
4.7 Regulated Data Restrictions (if applicable)
Unless SmartSuite has expressly agreed in writing (e.g., through a signed BAA or other addendum), Customer must not use the Services to process data subject to specialized regulatory regimes that would impose obligations on SmartSuite beyond those in the Agreement (e.g., regulated health data) where such use is not supported by SmartSuite’s offered terms.
5. Customer Responsibilities
Customer is responsible for:
- the legality, accuracy, and content of Customer Data,
- configuring permissions, sharing settings, and integrations appropriately,
- ensuring Users comply with this AUP and the Agreement,
- maintaining the confidentiality of credentials and access tokens.

7. Enforcement
SmartSuite may investigate suspected violations of this AUP. If SmartSuite reasonably determines that Customer or a User has violated this AUP, SmartSuite may:
- remove or restrict access to offending content (where applicable),
- limit, cap, throttle, suspend, or terminate access to the Services as permitted under the Agreement,
- and/or take other actions required by law.
8. Updates
SmartSuite may update this AUP from time to time. Updates will be posted on SmartSuite’s website. If an update materially reduces Customer’s rights during the then-current subscription term, SmartSuite will not apply that update to Customer during that term unless required for legal compliance or to protect the Services or other customers.
